ADAMA Ltd. Announcement on the Resignation of the President and CEO and Appointment of the President and CEO

The Company and all members of the Company’s Board of Directors confirm that all information disclosed herein is true, accurate and complete, with no false or misleading statement or material omission.

I. Resignation of the President and CEO

The Board of Directors of ADAMA Ltd. (hereinafter referred to as the “Board” and the “Company”) recently received notice from Mr. Ga?l Ali Hili informing the Company of his resignation as the President and Chief Executive Officer (Legal Representative of the Company) in light of work arrangements at Syngenta Group. His original term of office was three years, expiring on October 1, 2027. The resignation shall take effect as of November 1, 2026.

Following the above resignation, Mr. Ga?l Ali Hili serves as a Director, Chairman of the Board, and member of the Audit Committee of the Company, and will continue to serve as a Director of the Company’s wholly-owned subsidiary, Adama Agricultural Solutions Ltd. (“Solutions”), while also assuming the role of Chairman of the Board of that company. The Board approved the separation arrangement between Solutions and Mr. Ga?l Ali Hili, regarding Mr. Ga?l Ali Hili’s resignation from the above position in the Company.

As of the date of this announcement, Mr. Ga?l Ali Hili does not hold any Company shares, nor are there any outstanding public commitments that have not been fulfilled, and nothing related to his resignation needs to be brought to the attention of the Board and shareholders of the Company. Mr. Ga?l Ali Hili will complete the handover of his duties in accordance with the Company’s Management Policy for the Departure of Board Members and Senior Executives.

The Board highly values and deeply appreciates the significant contribution Mr. Ga?l Ali Hili made to the development of the Company during his tenure as President and Chief Executive Officer.

II. Appointment of the President and CEO

The Company held the 25th meeting of the 10th Session of the Board of Directors on

September 17, 2026, at which the Proposal on the Change of Senior Executive of the Company was reviewed and approved. For details, please refer to the Announcement of Resolutions of the 25th Meeting of the 10th Session of the Board of Directors disclosed by the Company on the same date on cninfo.com.cn (http://www.cninfo.com.cn).

According to the Company Law, Listing Rules of Shenzhen Stock Exchange, Guidelines of Shenzhen Stock Exchange on Self-discipline Supervision of Listed Companies No.1 - Standardized Operation of Main Board Listed Companies, the Company’s Articles of Association and other relevant regulations, and after being reviewed by the Nomination Committee and the Remuneration and Appraisal Committee of the Board, the Board approved the appointment of Mr. Hao Zhigang as the President and CEO of the Company also acting as legal representative of the Company and his remuneration. The above appointment will be effective from November 1, 2026, and the term of office shall expire on the date when the term of the 10th Session of the Board expires.

Mr. Hao Zhigang meets the relevant requirements for taking the above position. There is not any situation that prohibits Mr. Hao Zhigang from being the senior executive of the Company. Mr. Hao Zhigang has not been subject to any punishment imposed by the China Securities Regulatory Commission and the Shenzhen Stock Exchange. There is no situation of being investigated by judicial authorities for suspected crimes or being investigated by the CSRC for suspected violations of laws and regulations. Mr. Hao Zhigang is not a judgment debtor subject to enforcement. As for the profile of Mr. Hao Zhigang, please refer to the appendix of this announcement.

Appendix: Profile of Mr. Hao Zhigang

Mr. Hao Zhigang, a PRC citizen born in 1978. He holds a Ph.D. in Chemical Engineering from the Institute of Process Engineering, Chinese Academy of Sciences, and an MBA from the Open University of Hong Kong. He has served in various positions at China National Bluestar (Group) Co., Ltd., including Director of the General Office, Secretary of the Board of Directors, Deputy Secretary of the Party Committee, Secretary of the Party Committee, and Chairman. He also served as Secretary of the Party Committee and Chairman of Bluestar Adisseo Co., Ltd. (“Bluestar Adisseo”). He currently serves as CEO of Bluestar Adisseo. According to the announcement of the Board of Directors of Bluestar Adisseo, Mr. Hao Zhigang has tendered his resignation from the position of CEO, effective November 1, 2026.

As of the date of this Announcement, Mr. Hao Zhigang does not directly or indirectly hold any of the Company’s shares; Upon the effective date of Mr. Hao Zhigang's aforementioned resignation, he will no longer be employed by any shareholder holding 5% or more of the shares of the Company or the actual controller, and will have no affiliated relationships with any shareholder holding 5% or more of the shares of the Company, the actual controller, or any other directors or senior management members of the Company.

Mr. Hao Zhigang has not been subject to any punishment imposed by the CSRC and the SZSE and does not fall under any of the circumstances stipulated in Article 3.2.2 of Guidelines of Shenzhen Stock Exchange on Self-discipline Supervision of Listed Companies No.1 - Standardized Operation of Main Board Listed Companies issued by the SZSE. Mr. Hao Zhigang is not a judgment debtor subject to enforcement and meets all the qualifications set under the applicable laws and regulations.
